Terms and Conditions for Imperial OG AC Refrigeration and Supply

1. General Terms of Sale

This Sales Agreement outlines the terms under which the buyer (“Purchaser”) agrees to purchase, and Imperial OG AC Refrigeration and Supply (“Company”) agrees to sell, goods and/or services (“Products”). These terms govern all transactions and supersede any conflicting terms in purchase orders or other documents submitted by the Purchaser. By engaging in a transaction, the Purchaser accepts these terms.

2. Pricing and Payment

  • Prices: Unless stated otherwise, all prices are F.O.B. the Company’s facilities and are subject to change without notice. Prices exclude taxes, shipping, and special packaging costs. Purchaser is responsible for all applicable taxes unless a valid tax exemption certificate is provided.
  • Payment Terms: Payments must be made in accordance with the invoice terms. Late payments may incur interest at a rate of 1.5% per month or the highest rate permitted by law.

3. Cancellation Policy

Purchaser may not cancel or delay this agreement without prior written consent from the Company. Any cancellation may result in compensation for incurred losses, including, but not limited to, manufacturing and storage costs.

4. Refund Policy

  • General: All sales are final unless otherwise stated. Refunds will not be issued for products that have been used, damaged, or altered after delivery.
  • Returns: Some unused products may be returned within the timeframe specified in the product description. Returns require prior authorization and must include all original packaging, documentation, and accessories. A 25% Restocking Fee applies. Shipping costs are non-refundable.

    For items ordered by mistake, the customer is responsible for all shipping costs (both ways).

  • Process: Products must be shipped pre-paid and insured by the Purchaser. The Company reserves the right to refuse returns that do not meet these conditions.

5. Delivery and Risk of Loss

Delivery to the designated carrier constitutes the transfer of title and risk to the Purchaser. The Company is not responsible for damages or losses occurring in transit. Purchaser must inspect shipments upon arrival and document any discrepancies before accepting delivery.

6. Limited Product Warranty

The Company warrants new equipment to be free from defects in materials and workmanship for the period specified on the product’s documentation or invoice.

  • Wear-and-tear components such as belts, bearings, and fuses.
  • Damage caused by misuse, improper handling, unauthorized modifications, or exposure to extreme conditions.
  • Shipping costs for returns.

7. Limitation of Liability

The Company is not liable for indirect, special, incidental, or consequential damages, including lost profits or delays.

8. Returns & Exchanges

Unused items may be returned or exchanged within the timeframe specified in the product description. If no timeframe is specified, the return or exchange period is 15 days from the date of delivery. A 25% Restocking Fee applies.
For items ordered by mistake, the customer is responsible for all shipping costs (both ways).

9. Refurbished Items

Refurbished products are sold “As Is” with no warranty. These items are non-returnable and may show minor imperfections.

10. Force Majeure

The Company is not responsible for delays caused by circumstances beyond its control, including but not limited to natural disasters, labor disputes, or supply chain disruptions.

11. Governing Law

This agreement is governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the courts of Miami-Dade County, Florida.

12. Typographical Errors

The Company reserves the right to correct any typographical errors in pricing or product descriptions.

13. Completeness and Severability

These terms constitute the entire agreement between the parties. If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.

15. Trademarks and Intellectual Property

All trademarks, logos, and content on the website are the property of Imperial OG AC Refrigeration and Supply.

16. Public Forums and Submissions

The Company is not liable for user-generated content posted on public forums.

17. International Orders

International customers are responsible for all duties, taxes, and fees associated with the shipment of products.

18. SMS/Text Message Communications

By contacting Imperial AC Supply via text message or by providing your mobile number in any communication, you consent to receive text messages from our business solely for the purpose of responding to your inquiry or ongoing customer service communication.

  • No marketing or promotional messages will be sent.

  • Text messages are used only for direct, customer-initiated inquiries, order updates, or service-related replies.

  • Message frequency will vary depending on the nature of your request.

  • Standard message and data rates may apply.

  • You may opt out of receiving messages at any time by replying STOP. To receive assistance, reply HELP.

  • Consent to receive messages is not a condition of purchase.
